MEMORANDUM OF UNDERSTANDING Video Integration and Camera Registry Participation
I. PARTIES
This Memorandum of Understanding (“MOU”) is entered into between the City of Torrance, a municipal corporation (“City”), and the participating Business, Property Owner, or Resident identified in the signature block below (“Participant”), collectively referred to as the “Parties.”
II. PURPOSE
This MOU establishes the terms under which Participant may voluntarily share access to privately owned video camera systems with the City through the Axon Fusus platform for the limited purpose of enhancing situational awareness in support of law enforcement and emergency response activities.
Participation is voluntary and may be discontinued at any time.
III. NATURE OF AGREEMENT
This MOU does not create a partnership, joint venture, or agency relationship between the Parties.
Nothing in this MOU shall be interpreted as creating any duty or obligation of any type on the part of the City to Participant, including but not limited to any duty or obligation to monitor, access, or act in response to video footage captured by Participant’s video systems.
IV. SYSTEM DESCRIPTION
Participant may elect to:
- Register camera locations (Camera Registry), and/or
- Allow integration of camera feeds through Axon Fusus (fususCORE / fususONE platform)
The fususCORE device functions solely as a secure video gateway. The City does not have access to video unless and until a request is made through the system consistent with permissions granted by Participant.
All video remains the property of Participant unless affirmatively shared with the City.
V. ACCESS AND USE
- The City will only access video when authorized by Participant through system permissions or in response to a specific request.
- Access is limited to authorized personnel for legitimate law enforcement or emergency purposes.
- The City does not guarantee that video will be monitored, viewed, or accessed at any given time, including during emergencies.
VI. RESPONSIBILITIES OF THE CITY
The City will:
- Restrict access to authorized personnel
- Maintain audit logs of system access
- Use reasonable administrative safeguards for system access
- Not provide or share access to Participant’s camera feeds outside the City without appropriate authorization, or as required by law
VII. RESPONSIBILITIES OF PARTICIPANT
Participant:
- Retains full ownership and control of all videos
- Determines which cameras, if any, are shared
- Provides necessary technical information for integration
- Is responsible for any hardware, software, or vendor costs associated with participation
- Will make themselves available to the City as needed and will participate in any investigations and/or proceedings in which Participant’s video footage is relevant, utilized, and/or at issue.
VIII. NO EXPECTATION OF SERVICE
Participation in this program does not create:
- A guarantee of police response
- A guarantee of video review or monitoring
- Any heightened duty of care by the City
IX. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
The City, its officers, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to this MOU or participation in the program.
Participant assumes all risks associated with participation and agrees to release, waive, and discharge the City and its representatives from any claims arising from participation, including but not limited to property damage, personal injury, or system failure, except as required by law.
X. TERM AND TERMINATION
- This MOU shall become effective upon the execution of both Parties and will remain in effect for five (5) years unless terminated earlier
- Either Party may terminate this MOU at any time, with or without cause, by providing written notice to the other Party
- Termination will become effective within five (5) working days of acknowledgement of receipt of notice of termination, to allow for administrative processing and confirmation that access has been discontinued
XI. NOTICES
All notices, including termination, and any program-related inquiries shall be directed to the Torrance Police Department Real Time Response Center at 3300 Civic Center Drive, Torrance, CA 90503, or to such other address or contact as the City may designate.
XII. ENTIRE AGREEMENT
This MOU constitutes the entire understanding between the Parties and supersedes all prior discussions or agreements related to this subject.
XIII. ACKNOWLEDGMENT
Participant acknowledges that:
- Participation is voluntary
- They have read and understand this agreement
- They agree to its terms
By signing below, each of the Parties represents and expressly warrants that they are duly authorized and have legal authority to execute this MOU for and on behalf of the respective Party.
